TERMS OF SERVICE
UPDATED 2026-10-06
DropDoc Terms of Service
Effective date: October 6, 2026
These terms are an agreement between you and DropDoc Inc. (“DropDoc”, “we”, “us”) for the use of the DropDoc apps and the dropdoc.app and dropdoc.com websites (the “Service”). By creating an account or using the Service you agree to them. If you use the Service on behalf of an organization, you agree on its behalf and confirm you are authorized to do so.
1. The Service
DropDoc lets organizations create, organize and share documents, forms, procedures and related records in repositories, and control who can see and change them.
2. Accounts
- You must give accurate information when you register and keep it up to date.
- You are responsible for keeping your password confidential and for what happens under your account. Tell us promptly if you believe your account has been used without your permission.
- An account is for one person. Shared accounts, which an organization’s administrators create for a device or station, are the exception; the organization is responsible for how they are used.
- You must be at least 16 years old and able to enter into a contract.
3. Organizations and repositories
- An organization owns its repositories and everything in them (“Organization Content”), including what its members and invited users contribute.
- The organization’s owners and administrators decide who has access, what they can do, and what is kept or deleted. They can see the users of the organization’s repositories and the record of activity in them, and can remove a user’s access at any time.
- If you were invited by an organization, your use of its repositories is also subject to that organization’s own rules. We are not responsible for how an organization manages its repositories or its users.
- An organization must always have at least one owner.
4. Content
- Ownership. We do not claim ownership of your content or Organization Content.
- Licence to us. You give us permission to host, store, copy, transmit and display content only as needed to provide the Service to you and your organization, including making backups and showing it to the users you or your administrators have granted access.
- Your responsibility. You are responsible for the content you add and confirm you have the right to add it. The organization is responsible for Organization Content, including meeting any legal obligations that apply to it, such as privacy and record-keeping laws.
- Support access. Our staff may view Organization Content when needed to provide support, to keep the Service running or to comply with the law.
5. Acceptable use
You must not:
- break the law or infringe anyone’s rights using the Service;
- upload malware, or content that is unlawful, abusive or that you have no right to share;
- try to access accounts, repositories or data that you are not authorized to access;
- probe, overload or disrupt the Service, or get around its security or usage limits;
- reverse engineer the Service, except where the law allows it regardless of these terms;
- resell or provide the Service to others, other than giving users access to your organization’s repositories;
- use the Service to send spam or unsolicited invitations.
We may remove content or suspend access where we reasonably believe these rules have been broken. Where we can, we will tell you first.
6. Fees and trials
- Individual accounts are free. Fees apply to organizations.
- Pricing. An organization is charged a monthly fee per active user, which includes a storage allowance per user, and a fee for storage beyond that allowance. The rates and currency that apply to an organization are shown to its owners in the app.
- Trials. A new organization starts with a free trial. There is no fixed trial length; we will contact the organization’s billing contact to agree when billing starts. If we cannot reach the billing contact at the email address or phone number provided, the organization may be deactivated or deleted after 30 days without further notice.
- Billing. Invoices are issued monthly in arrears and are due within 30 days.
- Taxes. Fees do not include taxes, which are added where they apply.
- Changes. We will give at least 30 days’ notice of a price change.
- Late payment. If an invoice remains unpaid 30 days after it is due, we may suspend the organization’s access until it is paid.
- Refunds. Fees already paid are not refundable, except where the law requires.
No purchases are made through the mobile apps.
7. Ending your use
- You can stop using the Service at any time and can delete your account under Account Settings > Delete Account. What is removed and what organizations keep is described in the Privacy Policy. If you are the only owner of an organization with other members, you must make another member an owner first.
- An organization can close by contacting us. On request we will provide an export of the organization’s content before it is closed. We delete the organization’s repositories, their content and the backups of them within 30 days of closure.
- We may suspend or end access to the Service for a serious or repeated breach of these terms, for non-payment, or if we are required to by law. Except in urgent cases we will give notice and a chance to fix the problem.
- If we stop offering the Service altogether, we will give at least 90 days’ notice and a way for organizations to retrieve their content.
8. Our software and brand
The Service, including the apps, is owned by us and protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use it under these terms. The DropDoc name and logo may not be used without our permission.
If you send us feedback or suggestions, we may use them without any obligation to you.
9. Availability and changes to the Service
We work to keep the Service available and your content safe, but we do not promise it will be uninterrupted or error-free. We may change or remove features; if a change materially reduces what the Service does for paying organizations, we will give reasonable notice.
You are responsible for deciding whether the Service is suitable for your purposes. DropDoc is a tool for managing documents and records; it does not replace professional judgement and is not responsible for the accuracy of the content organizations put in it.
10. Disclaimer
To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the extent the law allows:
- we are not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill;
- our total liability for all claims relating to the Service is limited to the fees the organization concerned paid us in the 12 months before the claim arose, or CAD $100 if that is more.
Nothing in these terms limits liability that cannot be limited by law.
12. Indemnity
If someone brings a claim against us because of an organization’s content, or because the organization or its users broke these terms or the law in using its repositories, the organization will cover the resulting losses and reasonable legal costs. This section applies to organizations, not to individual users.
13. Changes to these terms
We may update these terms. If a change is significant we will let you know in the app or by email at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new terms.
14. General
- Governing law. These terms are governed by the laws of Ontario, Canada, and disputes will be heard in the courts of Ontario, unless the law where you live gives you rights that cannot be waived.
- Apple and Google. If you got the app from the App Store or Google Play, these terms are between you and us, not Apple or Google, who are not responsible for the Service or its support. Their store terms also apply to your use of the app.
- Whole agreement. These terms and the Privacy Policy are the whole agreement between us about the Service, together with any separate written agreement an organization has with us, which takes priority where the two differ.
- If part is unenforceable, the rest still applies.
- No waiver. If we do not enforce a term, that does not mean we have given it up.
- Assignment. You may not transfer your rights under these terms without our consent. We may transfer ours as part of a sale or reorganization of the business.
